Article 1 – Definitions

These General Terms of Sale and Service (hereinafter the "Terms") are offered by OHGIONNI LLC, trading as Yes Ritual.

The following definitions shall apply:

  • "Website": the website https://yesritual.com and all of its pages, the exclusive property of the Company.
  • "Products" or "Services": all products (goods) and services (offerings) that can be purchased or subscribed to on the Website.
  • "Seller": Yes Ritual, the legal entity offering its Products or Services on the Website.
  • "Customer": the internet user, whether a private individual or a professional, making a purchase of Product(s) or Service(s) on the Website.
  • "Consumer": in accordance with applicable consumer protection regulations, any natural person who acts for purposes which are wholly or mainly outside their trade, business, craft or profession.

Any internet user visiting the Website and interested in the Products and Services offered by the Seller is invited to read these Terms carefully, to print them and/or save them on a durable medium before placing an order on the Website.

The Customer acknowledges having read the Terms and accepts them in full.

Article 2 – Application of the Terms and Purpose of the Website

The Seller reserves the right to modify the Terms at any time by publishing a new version on the Website.

The Terms applicable to the Customer are those in force on the day of their order on the Website.

Legal information regarding the host and the publisher of the Website, the collection and processing of personal data and the conditions of use of the Website are provided in our Legal Notice and Privacy Policy.

This Website offers the online sale of wellness, home comfort and personal care products.

The Website is freely and openly accessible to any Customer. The acquisition of a Product or a Service implies acceptance, by the Customer, of all of these Terms, who thereby acknowledges having fully read them. This acceptance may consist, for example, of ticking the box corresponding to the acceptance phrase of these Terms, such as "I acknowledge having read and accepted all the general terms of the Website". Ticking this box shall be deemed to have the same value as a handwritten signature on the part of the Customer.

Acceptance of these Terms requires Customers to have the legal capacity to do so. If the Customer is a minor or does not have such legal capacity, they declare to have the authorisation of a guardian, curator or legal representative.

The Customer acknowledges the evidential value of the Seller's automatic recording systems and, unless they provide evidence to the contrary, waives the right to contest them in the event of a dispute.

Any Order of Products implies the Customer's unreserved acceptance of, and full adherence to, these Terms, which prevail over any other document: catalogues, advertisements, notices, except by express and prior derogating agreement of the Company.

Article 3 – Customer Service

The Customer service of this Website is accessible by email at the following address: contact@yesritual.com, by form, or by post at the address indicated in the Legal Notice. The Customer must indicate in their email their first name, surname, the subject of their request and their order number.

For any professional enquiry (partnership, media, contract proposal), the Company can only be contacted by email at contact@yesritual.com.

Article 4 – Order Procedure and Description of the Purchase Process

The Products and Services offered are those listed in the catalogue published on the Website. Each product is accompanied by a description prepared by the Seller based on the descriptions provided by the supplier.

The photos on the Website are non-contractual and may vary slightly from the models photographed. These variations are due to the settings of different screens and cameras, the lighting of the products, the angle of the shot, etc.

The "Cart" is defined below as the immaterial object grouping together all the Products or Services selected by the Customer on the Website with a view to purchase, having clicked on these items. To proceed with their order, the Customer chooses the Product(s) they wish to order by adding them to their "Cart", the contents of which can be modified at any time.

The Customer places the Order via the Website: the Customer registers and validates the Order on the Website.

To place an order on the Website, the Customer freely selects one or more Products from the Website's catalogue by clicking the "Add to Cart" button. On the "Cart" page, the Customer has the opportunity to check the details of their Order and correct any errors before confirming.

On the "Information" page, the Customer must enter their contact details. They may opt for order tracking by email by ticking the required box.

On the "Delivery" page, the Customer must choose their shipping method.

On the "Confirmation" page, the Customer must enter their payment details as well as the billing address. The Customer also has the option to enter a promotional code if they have one.

A complete summary of the Order appears. The Customer has the opportunity to modify all elements of the Order before finalising. The Customer is responsible for any errors relating to the Order, the Products and contact information.

The sale is validly formed when the Customer has confirmed the Order by clicking the "Place my order" button, has accepted these Terms, and has made payment according to the chosen methods, subject to the exercise of the right of withdrawal.

The date of validation of the order corresponds to the date of receipt of the full payment of the total price (inclusive of tax) duly confirmed.

Article 5 – Prices and Payment Methods

Unless otherwise stated, prices in the catalogue are stated in Pounds Sterling (£), inclusive of all taxes, taking into account applicable VAT on the day of the order and excluding any processing and shipping fees.

Yes Ritual reserves the right to pass on any change in the VAT rate to the price of the Products or Services. The Seller also reserves the right to modify its prices at any time. However, the price listed in the catalogue on the day of the order shall be the only one applicable to the Customer.

The Customer may place an order on this Website and may pay by Credit Card, Apple Pay, Google Pay, Shop Pay or PayPal. Card payments are made via secure transactions provided by an online payment platform provider.

This Website has no access to any data relating to the Customer's payment methods. Payment is made directly to the bank or payment provider receiving the Customer's payment. In the event of payment by bank transfer, the delivery times defined in the "Deliveries" article of these Terms only begin to run from the date of actual receipt of payment by the Seller, who may provide proof thereof by any means. The availability of Products is indicated on the Website, in the description sheet of each Product.

Yes Ritual will archive purchase orders and invoices on a reliable and durable medium constituting a faithful copy. Computerised records will be considered by the parties as proof of communications, orders, payments and transactions between the parties.

Article 6 – Deliveries

Delivery costs will be indicated to the Customer before any payment. The Website has no geographical delivery limitation; orders can be shipped worldwide. Delivery times indicated when ordering are for information only and remain dependent on any delays of postal services or other particular cases preventing delivery (demonstrations, bad weather, etc.).

In the event of delivery of a Product outside the territory of the United Kingdom or the European Union, the Customer declares themselves to be the importer of the Product and accepts that in such case the Seller may be physically unable to communicate to them exact information on the total amount of customs duties, import formalities or import taxes applicable in the country where delivery of the Product is requested.

Unless otherwise stated on the Website during the ordering process or in the description of the Products ordered, the Seller undertakes in all cases to deliver the Products within a maximum period of thirty (30) days after the conclusion of the contract with a Consumer Customer.

During a hand delivery, the Customer may refuse a parcel at the time of delivery if they notice an anomaly concerning the delivery (damage, missing Product compared to the delivery note, damaged parcel, broken Products, etc.); any anomaly must then be indicated by the Customer on the delivery note, in the form of handwritten reservations, accompanied by the Customer's signature. To exercise their right of refusal, the Customer must open the deteriorated or defective parcel(s) in the presence of the carrier and have them take back the damaged goods. During a delivery to a letterbox or doorstep, the Customer undertakes to immediately check the parcel and to contact Yes Ritual's support if they notice any anomaly. Failing to comply with these requirements, the Customer will not be able to exercise their right of refusal, and the Seller will not be required to grant the Customer's request for exercise of the right of refusal.

If the Customer's parcel is returned to the Seller by the postal service or other postal providers, the Seller will contact the Customer upon receipt of the returned parcel to ask them how to proceed with their order. If the Customer refused the parcel by mistake, they may request its re-dispatch by first paying the postal costs for the new shipment. Postal costs must be paid even for orders for which shipping was free at the time of order.

In the event of a delivery error or exchange (if the right of withdrawal is applicable, i.e. if the Customer is a Consumer and the contract entered into for the acquisition of the Product or Service allows withdrawal), any product to be exchanged or refunded must be returned to the Seller in its entirety and in perfect condition. Any defect resulting from clumsiness or wrong handling by the Customer cannot be attributed to the Seller.

Any delivery delay in relation to the date or deadline indicated to the Consumer Customer at the time of their order, or, in the absence of an indicated date or deadline, exceeding thirty (30) days from the conclusion of the contract, may lead to the termination of the sale at the initiative of the Consumer Customer, upon written request from them by registered letter with acknowledgement of receipt, if after having required the Seller to make the delivery, the Seller has not complied. The Consumer Customer will then be refunded, at the latest within fourteen (14) days following the date on which the contract was terminated, for all sums paid. This clause does not apply if the delivery delay is due to a case of force majeure.

Special case of a parcel whose tracking number indicates "delivered" but not received in the letterbox: if the Customer notices and informs the Seller that the parcel is not in their letterbox despite its tracking number indicating it has been "delivered", customer service may request additional information from them as well as an official document from the postal carrier responding to their claim regarding the corresponding tracking number. The Seller will then do everything possible to guarantee the Customer's satisfaction by proposing, in particular, the immediate re-shipment of the products at its own expense.

Article 7 – Right of Withdrawal and Withdrawal Form

In accordance with the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the Consumer Customer has fourteen (14) days from the date of receipt of the product of their order to withdraw. They will be required to return any product that does not suit them and request an exchange or refund without penalties, with the exception of return costs, within fourteen days of Yes Ritual receiving the refund request.

The Product must be returned in perfect condition, in its original sealed packaging and unused. The Consumer Customer can find below a standard withdrawal form for an order placed on the Website, to be sent to Yes Ritual. It is understood that the Customer will bear the costs of returning the Product in case of withdrawal.

The Customer is recommended to make the return by a solution allowing tracking of the parcel. Otherwise, if the returned parcel did not reach the Seller, it would not be possible to initiate an investigation with the postal services to ask them to locate it.

The refund will be made using the same payment method as that chosen by the Customer for the initial transaction, unless the Customer expressly agrees that the Seller may use another payment method, and provided that the refund does not result in costs for the Customer.

The Seller also reserves the right to defer the refund until receipt of the Product or for as long as the Customer has not demonstrated that they have shipped the Product, if such demonstration has not previously taken place.

In the event of depreciation of the Products resulting from handling other than that necessary to establish the nature, characteristics and proper functioning of the Product(s), the Customer's liability may be engaged.

Article 8 – Product Warranties

Statutory Rights

In accordance with the UK Consumer Rights Act 2015, all products sold on this Website benefit from the following statutory rights:

  • Right to satisfactory quality: products must be of satisfactory quality, taking into account their description, the price paid and all other relevant circumstances.
  • Right to fitness for purpose: products must be fit for the particular purpose for which they were bought, where the Customer made that purpose known to the Seller.
  • Right to as described: products must match any description, sample or model shown to the Customer at the time of purchase.

If a product does not conform to these statutory rights, the Customer is entitled to:

  • A short-term right to reject the product within 30 days of delivery and receive a full refund;
  • After 30 days but within 6 months, request a repair or replacement, and if unsuccessful, a partial or full refund;
  • After 6 months, the same remedies are available, but the Customer must prove the product was faulty at the time of delivery.

Commercial Guarantee

The statutory warranty of conformity applies independently of any commercial warranty granted.

In case of non-conformity of a delivered Product, it may be returned to the Seller who will proceed with its exchange. In case of impossibility to exchange the Product (obsolete Product, out of stock, etc.) the Customer will be refunded by transfer for the amount of their order. The costs of the exchange or refund procedure (in particular the return shipping costs of the Product) are then borne by the Seller.

Article 9 – Liability

The Seller Yes Ritual cannot be held liable for the non-performance of the contract concluded due to the occurrence of an event of force majeure. Concerning the purchased Products, the Seller will incur no liability for any indirect damages resulting from these Terms, loss of operation, loss of profit, damages or costs that may arise.

The choice and purchase of a Product or Service are placed under the sole responsibility of the Customer. The total or partial impossibility of using the Products, in particular for reasons of incompatibility of the equipment, cannot give rise to any compensation, refund or liability of the Seller, except in the case of a proven hidden defect, non-conformity, defectiveness or exercise of the right of withdrawal if applicable.

The Customer expressly admits to using the Website at their own risk and under their exclusive responsibility. In any event, Yes Ritual cannot, under any circumstances, be held responsible for:

  • any direct or indirect damage, in particular as regards loss of profits, loss of earnings, loss of clientele, loss of data that may result, among other things, from the use of the Website, or on the contrary from the impossibility of its use;
  • any malfunction, unavailability of access, misuse, poor configuration of the Customer's computer, or use of a browser little used by the Customer;
  • the content of advertisements and other links or external sources accessible by Customers from the Website.

The Seller's liability cannot therefore be engaged if the characteristics of the Products differ from the visuals on the Website or if the latter are erroneous or incomplete.

Nothing in these Terms excludes or limits the Seller's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability which cannot be excluded or limited by law.

Article 10 – Force Majeure

Cases of force majeure or fortuitous events shall be considered events beyond the control of the parties, which they could not reasonably be required to foresee, and which they could not reasonably avoid or overcome, insofar as their occurrence renders the performance of the obligations totally impossible.

The occurrence of a case of force majeure shall automatically suspend the performance of the Order.

Beyond a period of ninety (90) calendar days, if the parties find that the case of force majeure persists, the Order may be cancelled by either party, and the sales contract terminated. To this end, the most diligent party must send the other a registered letter with acknowledgement of receipt denouncing the said sales contract.

The effective date of termination shall be the date of first presentation of the letter. In this case, neither party may claim damages, except by mutual agreement of the two parties.

Article 11 – Intellectual Property Rights

All elements of this Website belong to the Seller or to a third-party agent, or are used by the Seller with the authorisation of their owners.

All texts, comments, works, illustrations and images, whether visual or sound, reproduced on the Website are protected under copyright law, trademark law, image rights and patent law (including the UK Copyright, Designs and Patents Act 1988). No one is authorised to reproduce, exploit, redistribute, or use in any capacity whatsoever, even partially, elements of the Website. Any simple or hypertext link is strictly prohibited without express written agreement from the Company. In any case, any link, even tacitly authorised, must be removed upon simple request from the Company.

Only use of the Website for private use, subject to different or more restrictive provisions of intellectual property law, is authorised.

Any total or partial reproduction of the Company's catalogue is strictly prohibited. Any other use constitutes infringement and is punishable under Intellectual Property law unless prior authorisation is obtained.

Any reproduction, representation, adaptation of logos, textual content, pictographic or video content, without this enumeration being limiting, is strictly prohibited and amounts to counterfeiting.

Any Customer who is guilty of counterfeiting may have their account deleted without notice or compensation and without this deletion being able to constitute damage, without prejudice to any subsequent legal proceedings against them, at the initiative of the Seller or its agent.

The trademarks and logos contained on the Website are likely to be registered by Yes Ritual, or possibly by one of its partners. Any person carrying out their representations, reproductions, embedding, broadcasting and rebroadcasting incurs the penalties provided for by applicable intellectual property legislation.

Article 12 – Personal Data Processing

The processing of personal data is governed by our Privacy Policy, available on the Website. By placing an order, the Customer acknowledges having read and accepted the Privacy Policy.

In accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, the Customer benefits from a right of access, modification, rectification, erasure, restriction, portability and objection to their personal data. The Customer can exercise their rights by email at contact@yesritual.com.

Article 13 – Comments and Other User Submissions

If the Customer sends ideas, proposals, or other items, whether online, by email, by post, or otherwise (collectively, "comments"), at the request of the Company or not, the Customer grants the Company the right, at any time, and without restriction, to edit, copy, publish, distribute, translate and otherwise use in any medium any comments the Customer sends.

The Company is not and shall not be obliged (1) to maintain the confidentiality of the comments; (2) to pay compensation to anyone for any comments provided; (3) to respond to comments.

The Company may monitor, modify or delete content that it deems, in its sole discretion, to be illegal, offensive, threatening, abusive, defamatory, pornographic, obscene or criminally objectionable, or that infringes any intellectual property or these Terms.

The Customer undertakes to write comments that do not violate the rights of third parties, including copyrights, trademarks, privacy, personality, or other personal or property rights. The Customer undertakes not to write in their comments any illegal, defamatory, offensive or obscene content, and that they will not contain computer viruses or other malware that could affect the operation of the Website or other associated websites. The Customer undertakes not to use a false email address, pretend to be someone else, or attempt to mislead the Company and/or third parties as to the origin of their comments.

The Customer is fully responsible for their published comments and their accuracy. The Company assumes no responsibility and disclaims any commitment with regard to comments published by the Customer or third parties.

Article 14 – Severability

If a provision of the Terms is deemed illegal, void or for any other reason unenforceable, then this provision shall be deemed severable from the Terms and shall not affect the validity and enforceability of the remaining provisions.

These Terms replace all prior or contemporaneous agreements, whether written or oral. The Terms are not assignable, transferable or sublicensable by the Customer themselves.

A printed version of the Terms and of all notices given in electronic form may be requested in judicial or administrative proceedings relating to the Terms.

Article 15 – Indemnity

You agree to defend, indemnify and hold the Company, its affiliates, officers, subsidiaries, successors, assigns, directors, agents, service providers, lawyers, suppliers and employees harmless from any claim or demand, including reasonable attorneys' fees and court costs, caused by a third party due to or arising from your use of the Website or our Products and Services, your breach of the Terms or your breach of your acknowledgements, agreements, representations, warranties and obligations herein.

Article 16 – Applicable Law and Dispute Resolution

These Terms are governed by the laws of England and Wales in respect of any consumer contract concluded with a Consumer residing in the United Kingdom. Consumer Customers benefit from the mandatory provisions of the law of their country of habitual residence.

For Customers who are not Consumers, these Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict of law principles.

The Website reserves the right to initiate criminal proceedings against any attempted fraudulent purchase or purchase with a prohibited or stopped credit card, stolen or falsified. In this context, no attempt at amicable conciliation will be accepted.

The fact that a clause of these Terms becomes void and unenforceable cannot call into question the validity of the other stipulations and does not exempt the Customer from the execution of their contractual obligations.

Online Dispute Resolution

For Customers residing in the European Union, the European Commission provides an online platform for dispute resolution accessible at: https://ec.europa.eu/consumers/odr

For Consumer Customers residing in the United Kingdom, complaints may also be referred to the relevant alternative dispute resolution body or to the appropriate courts of England and Wales.

A dispute may be examined only if:

  • The Customer can demonstrate that they have first attempted to resolve their dispute directly with the Company through a written complaint;
  • The request is not manifestly unfounded or abusive;
  • The dispute has not been previously examined or is not currently being examined by another mediator or by a court;
  • The Customer has submitted their request to the mediator within a maximum period of one year from their written complaint to the Company;
  • The dispute falls within the scope of competence of the mediator.

Participation in mediation does not exclude the possibility of recourse before a court. The parties remain free to submit their dispute to a judge within the framework of applicable legal provisions.

Warranty of Parts

The commercial warranty is limited to 30 days from the date of purchase under normal conditions of use and excluding any breakdown caused by an external factor. Under these conditions, the seller undertakes to replace the defective part. This commercial warranty is in addition to, and does not affect, the Customer's statutory rights under the UK Consumer Rights Act 2015.
